1. Agreement to Terms
These Terms and Conditions (“Terms”) govern your use of PlanCertify, operated by AllSpark Enterprises Ltd. (“Company”, “we”, “us”). By using the Service you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
These Terms constitute a binding legal agreement formed electronically under the Electronic Commerce Act, 2000 (Ontario) and applicable Canadian electronic transactions legislation. Electronic acceptance is legally equivalent to a handwritten signature.
2. Description of Service
- AI-generated business plan content based on inputs you provide
- Access to vetted professional partners (CPAs, consultants, advisors) who can review and certify plans
- Secure document storage and export (Word / PDF)
- Payment processing for professional partner services
3. Eligibility
You must be at least 18 years of age and have legal capacity to enter contracts under Ontario law. We do not knowingly provide services to minors.
4. Accounts
You are responsible for maintaining the confidentiality of your credentials. Notify us immediately at stephenlavoie@allsparkenterprisesltd.com of any unauthorized use. Account suspension does not entitle you to a refund of prepaid fees.
5. AI-Generated Content — Disclaimer

Business plan content generated by PlanCertify is produced by artificial intelligence and is provided for informational and planning purposes only. It does not constitute legal, financial, accounting, tax, or professional advice.
- AI-generated content may contain errors, inaccuracies, or omissions
- PlanCertify does not guarantee that any plan will achieve any particular outcome, secure financing, or satisfy any third party’s requirements
- You are solely responsible for verifying the accuracy of all content before relying on it
- We strongly recommend review by licensed professionals before acting on any plan
6. Taxes — GST/HST and Cross-Border
- Canadian GST/HST: all fees are quoted exclusive of applicable taxes. GST/HST is added at checkout based on your province. Current rates: ON 13% HST · BC 5% GST + 7% PST · QC 5% GST + 9.975% QST · AB 5% GST · other provinces as applicable.
- Digital services to non-Canadian customers: supplies to non-residents may be zero-rated for GST/HST purposes under the Excise Tax Act. Non-Canadian customers are responsible for any applicable sales or use tax in their own jurisdiction.
- US customers — Wayfair sales tax nexus: if your use of the Service creates sufficient economic nexus in a US state (generally USD $100,000 in revenue or 200 transactions per state per Wayfair v. South Dakota, 2018), you are responsible for applicable US state and local sales tax. PlanCertify does not collect or remit US state sales tax.
- All prices are in Canadian dollars (CAD). Currency conversion fees for non-CAD cards are your responsibility.
7. Payments
Client payments are processed by Square Inc. By submitting payment you agree to Square’s applicable terms. We do not store payment card numbers. All amounts are in CAD and subject to taxes per Section 6.
8. Refund Policy
Note: No federal Canadian law requires businesses to offer refunds except in specific regulated sectors. Our policy is as follows:
- AI plan credits: refundable within 7 days of purchase if no plans have been generated. Non-refundable after first generation.
- Partner professional services: non-refundable once delivered and accepted. See Section 9.4 for dispute resolution.
- Subscription fees: pro-rated refunds at our discretion within 7 days of billing period start. No mid-period refunds.

9. Partner Program
9.1 Independent Contractor Status
Partners are independent contractors, not employees, agents, or representatives of the Company. Partners are solely responsible for holding all required professional licences, compliance with provincial Employment Standards Act (ESA) contractor vs. employee classification rules for their province, and their own CRA tax obligations.
9.2 Partner Payouts
Payouts are processed in CAD via Stripe Connect. The first payout may be held 7–14 days per Stripe’s fraud prevention procedures. The Company is not liable for delays caused by Stripe, banking institutions, or incorrect banking information provided by the partner.
9.3 Client Disputes
Clients may open a dispute within 7 days of job delivery through the Account Dashboard. The Company facilitates mediation. Partners must revise work until the client is reasonably satisfied or negotiate a resolution. The Company’s decision on unresolved disputes is final.
10. Intellectual Property
The Service, including software, design, and trademarks (“PlanCertify”), is owned by the Company and protected under the Copyright Act (R.S.C. 1985, c. C-42) and the Trademarks Act (R.S.C. 1985, c. T-13).
Business plan content generated using your inputs is owned by you, subject to: (a) a non-exclusive licence to us to store and process your content to provide the Service; and (b) use of anonymized, aggregated data to improve AI models (no identifiable content used without explicit consent).
11. Competition Act Compliance
The Company complies with the Competition Act (R.S.C. 1985, c. C-34). We do not make false or misleading representations about the Service, AI-generated content quality, certification outcomes, or partner credentials. Contact the Competition Bureau of Canada to report concerns.
12. CASL — Commercial Electronic Messages
By creating an account you expressly consent to receive transactional messages (account confirmations, security alerts, payout notifications). These service messages are sent regardless of marketing preferences.
You may separately consent to marketing communications. This consent may be withdrawn at any time via the unsubscribe link in any marketing email or by contacting us. Unsubscribes are processed within 10 business days.
13. Prohibited Conduct
- Using the Service for any unlawful purpose
- Submitting false or fraudulent information (including misrepresenting professional credentials as a partner)
- Reverse-engineering, scraping, or copying the Service or its AI models
- Generating content that infringes third-party intellectual property
- Circumventing security features or authentication
- Creating plans containing false financial projections intended to deceive lenders or investors (may constitute fraud under the Criminal Code of Canada)
14. Force Majeure
The Company is not liable for delays or failure to perform obligations caused by events beyond our reasonable control, including acts of God, natural disasters, pandemic, government actions, internet outages, cyberattacks, or failures of third-party providers (Square, Stripe, Supabase, Vercel, SendGrid).
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE CANADIAN LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
Total aggregate liability shall not exceed the greater of: (a) total fees paid by you in the preceding 12 months, or (b) CAD $100. Some provinces do not allow exclusion of implied warranties — in such provinces these limitations apply to the fullest extent permitted by law.
16. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF AI-GENERATED CONTENT, OR NON-INFRINGEMENT.
17. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada. The parties agree to the exclusive jurisdiction of Ontario courts.
Provincial note: Quebec residents may have additional rights under the Consumer Protection Act (CQLR c P-40.1) and the Civil Code of Quebec. Nothing in these Terms limits rights that cannot be waived under Quebec law.
18. Changes to Terms
We may update these Terms at any time. Material changes will be communicated by email and posted with a revised effective date. Continued use constitutes acceptance.
